Believe it or not I have had a similar experience and the end result was a decision by Yahoo to add my second site to an entirely new category. Let me be clear here, Yahoo created my own category for me that included my keyword, so now search for that keyword brings up my own "new" category first of all listings. The point really is though, that they (Yahoo) did take the extra step and search the Whois and find out that the same company owned the new domain and the preceding is what they ultimately did.

So to answer your question, you are not being paranoid, the Whois is exactly what they did, but it my case the result benefits me a great deal.
